1. About these terms

These terms are the agreement between [Credipay's registered company name] (“CrediPay”, “we”, “us”) and the business that uses CrediPay (“you”, the “Merchant”). They replace the Merchant Terms of Service of September 2024.

By signing up, accepting an invitation, or using CrediPay, you confirm that you have read these terms and our Privacy Policy, that you are authorised to bind your business, and that your business agrees to them. If you do not agree, do not use CrediPay.

CrediPay is a platform for businesses. You must be at least 18 years old and your business must be lawfully registered or operating in a country where we offer the service.

2. Words we use

  • Account: your business's CrediPay account, including its branches and users.
  • Branch: a location or unit of your business set up in CrediPay. Paypoint: a till or collection point at a branch, with its own account number.
  • Users: the people you give access to, with a role such as Administrator, Sub Administrator, Manager, Paypoint operator or Accountant.
  • Collection wallet, payout wallet and business wallet: the balances described in section 8. Branch sales balance: the money a branch has received through CrediPay from sales, less our charges, that has not yet been paid out to you.
  • Provider: a bank, payment institution or other licensed third party that CrediPay uses to receive, hold or send money.
  • Partner: an organisation that offers CrediPay to its own merchants. If you joined through a Partner, that is shown in your account.
  • Plan: the subscription package your account is on, and its fees, limits and grace period.

3. Your account and your people

Approval and accuracy

We may ask for information and documents about your business and its owners and verify them before, and while, you use CrediPay. You must keep that information accurate and up to date. We may refuse, limit or close an account where the law or our risk checks require it.

Users and roles

The Administrator decides who gets access and with which role. What a user can see and do depends on the role: for example, only Administrators and Sub Administrators can manage the business wallet and subscription settings. You are responsible for everything done through your account by your users, and for removing access when someone leaves.

Keeping access safe

Keep passwords, one-time codes and your transaction PIN secret and do not share them. Tell us immediately if you think someone else has them. Actions taken with your credentials are treated as yours, unless we failed to act within a reasonable time on a report from you.

4. What CrediPay provides

Depending on your plan and what we have enabled for you, CrediPay lets you:

  • receive payments by bank transfer to account numbers we issue (for a branch, a paypoint, an order, a payment link or through our API), and by other channels we offer;
  • run a till: place and manage orders, take payment, keep stock, customers, coupons and loyalty, and see reports;
  • hold and move money in your wallets, and pay out to your bank account;
  • manage your subscription, users, branches and settings;
  • connect your own systems through our API and webhooks.

CrediPay is software and a payments service. It is not a bank. Money services are delivered through Providers, and we do not give financial, tax or legal advice.

5. Payment providers

We use Providers to create account numbers, receive money, look up bank accounts and send transfers. We choose and may change the Provider for your account, including by routing your account, or a particular transfer, to a different Provider, and we may fall back to another Provider if the first is unavailable. The list of banks you can send to, and the account numbers issued to you, may therefore depend on how your account is routed. Providers' availability and rules (including bank cut-off times and limits) affect the service, and we are not responsible for a Provider's acts or outages, but we will help you resolve problems that involve them.

6. Fees and charges

You agree to pay the fees for the services you use: your subscription (section 10), transaction charges on collections, charges on transfers and payouts, and any other charge in your plan or in the pricing we have shown or agreed with you. Charges are shown in your account and in your transaction records. Taxes are added where they apply.

Collection charges are normally deducted from the money you receive, so the amount credited to you is the amount received less the charge. We may change our fees by giving you notice in the app or by email at least [30] days before the change takes effect. If you do not agree, you may stop using CrediPay before then.

7. Collections, balances and payouts

  • Receiving money. Money sent to an account number we issued for you is recorded against your business, and against the branch and paypoint it was issued for, once we are told by the Provider that it has arrived. We may delay or reverse a credit where a Provider reverses it, where it was sent in error, or where we suspect fraud or a breach of law.
  • Branch sales balances. Sales money for a branch is recorded as that branch's sales balance, less our charges. Your Administrator can pay a branch's balance out to the settlement bank account set for that branch, using the transaction PIN. Payout charges and timing are shown at the time.
  • Settlement accounts. You are responsible for the bank details you give us. We pay to the account you have set up and are not responsible for a payment sent to details you gave us that turn out to be wrong.
  • Disputes and reversals. You are responsible for refunds, returns and disputes with your own customers. Where money has to be returned because of a dispute, error or Provider reversal, you agree that we may recover it from your balances or wallets, or ask you to pay it.

8. Wallets

Collection and payout wallets

If your business uses our payment-link or API collections, a collection wallet holds the money collected that way, and a payout wallet holds money you load for API payouts. These are used as described in the documentation for those services.

Business wallet

The business wallet is your business's own account with CrediPay, with its own account number shown on the Business Wallet page. It is kept separate from your sales: money received from customers does not go into it unless you move it there. It is funded by bank transfer to the account number shown, and charges may apply to a funding transfer. Its balance is what has come in less what has gone out, and its statement lists every movement.

Administrators and Sub Administrators can send money out of the business wallet to a bank account. Before you confirm, we show the beneficiary's account name as returned by the bank, the amount and our charge. You are responsible for checking the beneficiary details. A transfer that has been successfully sent cannot normally be recalled; we will use reasonable efforts to help you recover a transfer sent in error but cannot guarantee it. A transfer may show as “in progress” until the Provider confirms it; if it fails, we will correct your balance.

Cash wallets

Where cash handling is enabled for a paypoint, a cash wallet records cash received by that paypoint. It is a bookkeeping record of cash you hold, not a deposit with us.

No interest, not a bank deposit

Balances in CrediPay wallets are not bank deposits, do not earn interest and are not insured by us. Money is held with, or recorded through, our Providers.

9. Transaction PIN and authorisation

Moving money out (a payout, or a transfer from the business wallet) requires the signed-in user's own 4-digit transaction PIN. A PIN is personal to the user and must never be shared. An instruction confirmed with the correct PIN is treated as authorised by you, and we may act on it. If a PIN is forgotten it can be reset with a code sent to the user's email. If you suspect misuse, change the PIN at once and tell us. We may refuse or hold a transfer we reasonably believe is unauthorised, unlawful or risky.

10. Subscriptions and billing

Plans and billing

Paid features are provided under a Plan. A Plan has a price per billing cycle (monthly, quarterly or annual), may include extra users or branches, and has a grace period. Your Plan, its price, your next charge date and your billing history are shown in Business Settings. You may change Plan, either straight away or at the end of your current billing period; when you change straight away we may credit the unused part of what you have paid against the new charge.

How we collect your subscription: please read this section.

By accepting these terms, you authorise CrediPay to collect each subscription charge, and any amount you owe us for the subscription, from the following sources, in this order:

  1. your business wallet;
  2. your collection wallet, if you have one;
  3. if your business wallet and collection wallet cannot cover the charge, the sales balances of your branches, one branch at a time, starting with the branch with the largest balance, until the charge is covered.

The third source applies only while the setting “If the business wallet runs short, use my branches' sales balances” is on. It is on by default, and an Administrator can turn it off at any time in Business Settings. Turning it off does not change the amount you owe; it only means we will not use branch balances to collect it.

How a charge works

  • Whole charge only. We take a charge only if your sources together can cover all of it. If they cannot, we take nothing, so a subscription is never part-paid.
  • You can see it. Every amount we take is recorded as “Subscription billing”: a debit on the business wallet statement, in your transaction history, or against the branch it was taken from. The charge and its sources are listed under your billing history.
  • Branch balances are yours. Taking a charge from a branch's sales balance reduces what can be paid out for that branch. If you would rather the charge be paid only from the business wallet, keep it funded and turn the setting off.

If a charge cannot be collected

  • We try again every day from the due date until the end of your grace period (the length is shown in your Plan).
  • The unpaid amount stays owing and is shown as an unpaid charge in Business Settings. When a retry succeeds, the charge is cleared and your billing continues as normal.
  • If the grace period ends and the charge is still unpaid, we may suspend your subscription and limit paid features. We may also end it. You remain responsible for what you owe.
  • If you have paid outside the system, contact us with your payment reference so we can apply it.

Cancelling

You may cancel your paid subscription from Business Settings, either straight away (you move to the free plan for your category, where there is one, and lose paid features at once) or at the end of the current billing period (you keep paid features until it ends). Fees for a billing period that has already been charged are not refunded, except where the law requires or we agree otherwise [confirm refund policy].

Partners

If a Partner pays part of your subscription, only the part that is yours is collected from you in the way described above.

11. Orders, till and stock

You are responsible for your prices, taxes, discounts, stock levels, receipts and how you treat your customers. When an in-store till order has been paid in full it is completed automatically, unless you turn that off in Business Settings; sales are then recorded in your books and loyalty points are credited at that time. Orders placed through an integration, or for delivery, keep a separate completion step. Open tickets at the till are stored in the browser on the device you use; clear them before leaving a shared device.

12. API and integrations

If you use our API, keep your keys secret and use them only for your own business or as we allow. You are responsible for calls made with your keys and for your integration's behaviour, including webhooks you receive. We may limit usage to protect the service, and we may change or retire API versions with reasonable notice.

13. Using the service properly

You must use CrediPay lawfully and honestly. You must not: use it for money laundering, terrorist financing, fraud, or sanctioned or illegal activity; sell prohibited goods or services; mislead your customers; attempt to bypass limits or security; interfere with the service; or use it to collect money you are not entitled to. We may ask for information to meet our legal duties and may report suspicious activity to the authorities.

14. Your customers' data

You keep ownership of the data about your customers that you put into CrediPay. For that data, you decide why and how it is used, and we process it for you to provide the service. You must have a lawful basis for collecting it, give your customers the notices the law requires, and keep it accurate. Our Privacy Policy explains how we handle personal data.

15. Availability and changes

We work to keep CrediPay available but we cannot promise it will always be uninterrupted or error-free, in particular because it depends on Providers, banks and networks. We may update, improve or remove features. If a change is material and harms you, we will give you reasonable notice.

16. Suspension and ending

You may stop using CrediPay at any time, after paying what you owe. We may suspend or end your access, or hold balances, if you break these terms, if we suspect fraud or unlawful activity, if we are told to by a Provider, regulator or court, or if your account is unpaid beyond the grace period. Where we can, we will tell you why. When an account ends, we will pay out the balances that belong to you after deducting what you owe us, subject to any legal hold, and we keep records as required by law. Sections that by their nature continue (for example fees owed, liability and disputes) survive the end of the agreement.

17. Liability

Nothing in these terms limits liability that cannot be limited by law. Subject to that: CrediPay is provided on an “as available” basis; we are not liable for losses caused by Providers, banks, networks or events outside our reasonable control, by instructions you or your users gave (including a correct PIN), or by wrong details you supplied; and we are not liable for indirect or consequential loss or loss of profit. Our total liability to you for any claim arising from the service is limited to [amount or the fees you paid in the previous 12 months, to be confirmed by counsel]. You agree to compensate us for loss we suffer because you broke these terms or the law, or because of claims by your customers about your goods and services.

18. Disputes and governing law

If something goes wrong, contact us first (section 20) and we will try to resolve it. These terms are governed by [governing law, expected to be the laws of the Federal Republic of Nigeria] and disputes will be dealt with by [courts or arbitration to be confirmed by counsel].

19. General

  • Changes to these terms. We may update them. We will tell you in the app or by email before an important change takes effect, and by continuing to use CrediPay after that date you accept the new version. The version in force is the one published at this address.
  • Notices. We may give notice in the app, by email to the Administrator, or by SMS or push notification. You give notice to the address in section 20.
  • Whole agreement. These terms, the Privacy Policy and the Plan and pricing for your account are the whole agreement and replace earlier versions.
  • If part is unenforceable, the rest still applies. If we do not enforce a term at once, we may still do so later. You may not transfer your rights without our consent.
